Terms and Conditions

Welcome to Orange Door Spaces!

These Terms and Conditions govern your use of our co-working space and all related services. By using our facilities, you agree to comply with and be bound by the following terms. Please read them carefully.

1. Membership and Access

  • Permitted Activities: Members may use the space for co-working, content creation, entrepreneurship activities, photo shoots, meetings, and other professional or recreational purposes, as described in our offerings.  All Members understand and acknowledge that they may be subject to filming, surveillance, and recording, and agree to that this shall be allowed and that there will be no compensation or anything other renumeration for Members appearing in any shoot, film, or otherwise being recorded in any way, shape, or form. 

  • Prohibited Activities: The space may not be used for any unlawful activities, including but not limited to harassment, discrimination, illegal transactions, or any behavior that disrupts the working environment.

  • Respect for Others: Members are expected to maintain a respectful environment, keeping noise levels to a minimum, especially in shared spaces. Any conduct deemed inappropriate by management may result in termination of membership.

  • The use of our co-working space is available only on a first come, first serve basis, and there is no guarantee that you will be able to use a certain portion or area of the co-working space at a certain time or for a certain purpose. 

  • In the event a Member is using the space for operating any type of business and/or engaging in any activity that requires the use of a permit or license, Member shall be solely liable for ensuring that all permit and license requirements are fully complied with. 

2. Use of Space

  • Permitted Activities: Members may use the space for co-working, content creation, entrepreneurship activities, photo shoots, meetings, and other professional or recreational purposes, as described in our offerings.

  • Prohibited Activities: The space may not be used for any unlawful activities, including but not limited to harassment, discrimination, illegal transactions, or any behavior that disrupts the working environment.

  • Respect for Others: Members are expected to maintain a respectful environment, keeping noise levels to a minimum, especially in shared spaces. Any conduct deemed inappropriate by management may result in termination of membership.

  • Orange Door Spaces reserves the right to refuse service to anyone.

3. Booking and Reservations

  • Room Reservations: Certain areas, such as meeting rooms and studios, may require prior booking. Reservations can be made online or through our administrative staff and are available on first-come basis only.

4. Security and Personal Belongings

  • Security: Members must use provided access methods (e.g., keycards, codes) responsibly and not share them with non-members. All members must check in at the front desk upon arrival.

  • Personal Belongings: Members are responsible for their personal belongings. Orange Door Spaces is not liable for any lost, stolen, or damaged items. Lockers are available for use but are not guaranteed secure.

  • Surveillance: For security purposes, the premises are monitored by surveillance cameras. By entering the premises, you consent to being recorded.

5. Internet and Technology Use

  • Internet Access: High-speed internet access is provided to all members. Members are expected to use this service responsibly and refrain from any activities that would disrupt the network.

  • Data Security: While we take reasonable measures to ensure network security, Orange Door Spaces is not responsible for any data breaches, loss, or theft of data.

  • Prohibited Use: Members may not use the internet for illegal downloads, cyber-attacks, or any activities that violate intellectual property laws.

  • Members understand and acknowledge that the internet services are provided on an as-is basis, without any guarantee of disruption-free use or use for a particular purpose. 

6. Health and Safety

  • Cleanliness: Members are expected to keep their workspaces clean and tidy. Please dispose of trash in designated bins and clean up after yourself in shared spaces.

  • Health Guidelines: Members must adhere to any health guidelines set by Orange Door Spaces, including wearing masks, social distancing, and other measures that may be required to ensure the safety of all members.

  • Emergency Procedures: Members must familiarize themselves with the building’s emergency procedures and comply with any emergency drills or instructions from staff.

7. Payment and Billing

  • Payment Methods: We accept credit cards, debit cards, and bank transfers for membership fees and other charges. All payments must be made in accordance with the agreed-upon payment schedule.

  • Late Fees: Payments that are more than 7 days late will incur a late fee of 10% of the outstanding balance. Membership privileges may be suspended until all fees are paid.

  • Refunds: Membership fees are non-refundable except in cases of service termination by Orange Door Spaces or as otherwise specified in your membership agreement.

8. Termination and Suspension

  • Termination by Member: Members may terminate their membership at any time by providing written notice 30 days in advance. Any prepaid fees are non-refundable.

  • Termination by Orange Door Spaces: We reserve the right to terminate or suspend a membership at any time for violations of these Terms and Conditions or for behavior deemed inappropriate or disruptive.

  • Effects of Termination: Upon termination, members must return any property of Orange Door Spaces and settle any outstanding fees.

9. Liability and Indemnity

Limitation of Liability:

  • ORANGE DOOR SPACES’ SERVICES ARE PROVIDED ON AN ‘AS IS, AS AVAILABLE’ BASIS WITHOUT WARRANTY OF ANY KIND AND ANY AND ALL WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE ARE SPECIFICALLY DISCLAIMED. NEITHER ORANGE DOOR NOR ITS AFFILIATES, EMPLOYEES, AGENTS OR ASSOCIATED THIRD PARTIES SHALL BE LIABLE FOR ANY LOSS RESULTING FROM USE OR UNAVAILABILITY OF ANY SERVICES, INCLUDING BUT NOT LIMITED TO ANY LOST PROFITS,  OR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, PUNITIVE, COMPENSATORY OR INCIDENTAL DAMAGES, EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THIS DISCLAIMER IS APPLICABLE TO ANY DAMAGE OR INJURY RESULTING FROM NEGLIGENCE OR OMISSION OF ORANGE DOOR SPACES.

 

IN NO EVENT WILL ORANGE DOOR SPACES OR ANY OF ITS DIRECTORS, OFFICERS, AFFILIATES, AGENTS, EMPLOYEES, OR ASSIGNS BE HELD LIABLE FOR ANY TORTUOUS OR ILLEGAL CONDUCT OF THIRD PARTIES.

  • Indemnity: Members agree to indemnify and hold harmless Orange Door Spaces and its officers, directors, members, managers, employees, agents, owners, and all other representatives from any fees, demands, liabilities, attorney’s fees, court costs, claims, damages, losses, or expenses arising from their use or misuse of the space.

  • Members further agree that they and their guests will use their best efforts and judgement to avoid engaging in conduct that could be detrimental to others using the Orange Door Sapces facilities, including the following: using or allowing family members or guests to use the facilities or participating in, or allowing family members or guests to participate in, KINGDOM events after exposure or potential exposure to any infectious diseases, both communicable or non-communicable, including those caused by viruses or bacteria (referred to herein as an “Infection” in the singular or “Infections” in the plural) until they have fully recovered and do not pose a danger of exposing others to the Infection; engaging in activities which pose a danger to Member or others (e.g., physical altercations or engaging in unsafe activities); or engaging in any conduct or activities prohibited by law. 

  • Members will have the opportunity to engage in various physical activities at the Orange Door Spaces facilities, including, but not limited to, participation in sports.  Members are aware that certain risks attend participating in these activities (which can include exposure to Infections or allergens), and engaging in physically demanding activities, and that these risks include bodily, emotional or psychological injury, illness, temporary or permanent disability, and death.  Members agree that through the use of the facilities and participation in programs and activities offered by Orange Door Spaces, that Members are aware of the foregoing risks.

  • Members further agree to assume all risks of injury, damage or loss in any way relating to or arising out of their membership or the use of the Orange Door Spaces facilities, including any such loss stemming in whole or in part from the negligence (active and passive) of any of the agents, representatives, owners, officers, members, managers, employees, contractors, affiliates, subsidiaries, and vendors of Orange Door Spaces. 

RELEASE. Members hereby hold harmless, release and forfeit any and all rights, claims, causes of action, loss or damages Members may have against Orange Door Spaces, its successors, officers, directors, members, employees, agents, representatives, attorneys, insurers and assigns (hereafter referred to as the “Released Parties”) arising from or relating in any way to: membership with Orange Door Spaces, including restriction or forfeiture of membership rights and privileges for violation of Orange Door Spaces’ rules; the use of Orange Door Spaces facilities; the participation in Orange Door Spaces activities whether on or off premises; any misuse or misappropriation of any non-public personal information maintained by Orange Door Spaces, including through any data breach, piracy, or theft of information; any and all claims, causes of action, loss or damages incurred by reason of bodily injury, emotional or psychological injury, property damage/loss or death due to the negligence (active or passive) of any of the Released Parties; and any contract breach, discrimination and equitable claims to the extent allowed by applicable law.

10. Changes to Terms and Conditions

  • Updates: Orange Door Spaces reserves the right to modify these Terms and Conditions at any time. Members will be notified of any changes, and continued use of the space constitutes acceptance of the new terms.

11. Governing Law/Arbitration

  • These Terms and Conditions are governed by the laws of the state of California.  Any disputes arising under these terms shall be resolved via binding arbitration with the American Arbitration Association, in front of one arbitrator, and under the Commercial Arbitration Rules.  The arbitration shall take place in Los Angeles. 

12.  Class Action Waiver

  • Any arbitration under these Terms will take place on an individual basis; class

  • arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER.

By becoming a member of Orange Door Spaces, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
